Terms of Use

These Terms of Use ("Terms") govern your access to and use of ShipScout.ai and related services (collectively, the "Services") provided by ShipScout ("ShipScout", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

By creating an account, accessing the platform, or using any ShipScout service, you confirm that you have read, understood, and agree to these Terms, along with our Privacy Policy, which is incorporated herein by reference. These Terms constitute a legally binding agreement between you and ShipScout.

We may revise these Terms at any time. Material changes will be communicated via email or a platform notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms.

2. Eligibility

To use ShipScout, you must meet all of the following requirements:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts in your jurisdiction
  • Not be prohibited from using the Services under applicable laws
  • Provide accurate, truthful, and complete information during registration and throughout your use of the Services
  • Use the Services for lawful business purposes only

If you are using the Services on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Account Registration & Security

When you register for ShipScout, you agree to:

  • Provide accurate, current, and complete information, and keep it updated
  • Maintain the confidentiality of your password and account credentials
  • Notify us immediately at [email protected] if you suspect any unauthorized access to your account
  • Not share your account credentials with any other person or entity
  • Not create more than one account without our express written permission
  • Accept full responsibility for all activities that occur under your account

ShipScout accounts are for single-user access. Sharing login credentials or allowing multiple users to access one account is a material breach of these Terms and may result in immediate account suspension.

4. Subscription Plans & Payment

ShipScout offers various subscription plans with different features and data access limits. Plan details, pricing, and included features are described on our Pricing page.

  • Free trial: New accounts may access a 7-day free trial with limited features. No credit card required during the trial period.
  • Auto-renewal: Paid subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.
  • Failed payments: If a payment fails, your account may be suspended until outstanding amounts are settled. We will notify you by email before suspension.
  • Monthly plans: Payments are non-refundable. You may cancel at any time; access continues until the end of the current billing period.
  • Annual plans: Prorated refunds are available within 30 days of payment for unused full months remaining. After 30 days, annual plan payments are non-refundable.
  • Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.
  • Price changes: We reserve the right to change subscription prices with 30 days' notice. Price changes apply at your next renewal date.

5. Use of Services

Permitted uses include:

  • Searching for and identifying potential buyers or suppliers for legitimate trade purposes
  • Researching market trends, trade volumes, and shipment data
  • Monitoring competitor import/export activity using publicly available data
  • Generating leads and reports for your internal business use

Prohibited uses . You may not:

  • Use the Services for spam, unsolicited outreach, or any form of harassment
  • Scrape, crawl, or programmatically extract data beyond what is enabled by our API
  • Reverse-engineer, decompile, or attempt to extract source code from the platform
  • Resell, sublicense, or redistribute ShipScout data or the Services to third parties
  • Share account credentials or allow simultaneous multi-user access on a single account
  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the platform or its underlying systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Use the data to build a competing product or service

Violations of the prohibited use policy may result in immediate account suspension without refund, and may give rise to legal claims against you.

6. Data & Content

ShipScout aggregates trade data sourced from government customs authorities, port agencies, and official trade organizations worldwide. This data is public record; we do not generate or manufacture trade records.

  • We make no warranties regarding the completeness, accuracy, timeliness, or fitness for a particular purpose of any data available on the platform
  • Trade data reflects records as submitted to and published by official agencies; delays, omissions, and errors in government records are outside our control
  • You are solely responsible for verifying any data before relying on it for business decisions
  • ShipScout is not liable for decisions made based on platform data

Any content you submit to the platform (e.g., saved searches, notes, custom lists) remains your property. By submitting content, you grant us a limited license to process and display it solely to provide the Services to you.

7. Intellectual Property

All software, algorithms, user interfaces, design elements, trademarks, logos, and compilations of data constituting the ShipScout platform are owned by or licensed to ShipScout and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes only.

  • You may not reproduce, modify, distribute, or create derivative works from any ShipScout content without our express written consent
  • All rights not expressly granted to you in these Terms are reserved by ShipScout
  • Feedback or suggestions you provide to us may be used without restriction or compensation

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, ShipScout expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Any guarantee of uninterrupted, error-free, or secure access to the platform
  • Any warranty regarding the accuracy, completeness, or reliability of trade data
  • Any guarantee of specific business results or outcomes from using the Services

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHIPSCOUT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or business interruption
  • Damages arising from your reliance on platform data
  • Any unauthorized access to or alteration of your data

In no event shall ShipScout's total cumulative liability to you for all claims arising from or related to the Services exceed the total amount you paid to ShipScout in the 12 months immediately preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless ShipScout and its officers, directors, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Services in violation of these Terms
  • Your violation of any applicable law or regulation
  • Any content or data you submit to the platform
  • Your infringement of any third-party rights
  • Any misrepresentation made by you

ShipScout reserves the right to assume exclusive control of any matter subject to indemnification at your expense, and you agree to cooperate with our defense of such claims.

11. Termination

By you: You may cancel your subscription and close your account at any time through your account settings or by contacting us at [email protected]. Cancellation of a paid subscription takes effect at the end of the current billing period.

By ShipScout: We may suspend or terminate your account immediately, without prior notice or liability, if you:

  • Violate any provision of these Terms
  • Engage in conduct that we reasonably determine is harmful to other users, ShipScout, or third parties
  • Fail to pay amounts owed after reasonable notice
  • Provide false or misleading information during registration

Effect of termination: Upon termination, your right to access the Services ceases immediately. We will delete or anonymize your personal data within 90 days of account closure, subject to legal retention obligations. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, indemnification, and limitation of liability) shall survive.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with applicable law. In the event of any dispute, claim, or controversy arising from or relating to these Terms or the Services, the parties agree to attempt resolution in the following order:

  • Negotiation: Contact us at [email protected] and allow 30 days for good-faith negotiation to resolve the dispute
  • Mediation: If negotiation fails, the parties agree to submit the dispute to non-binding mediation before a mutually agreed mediator
  • Arbitration: If mediation fails, the dispute shall be finally resolved by binding arbitration under rules mutually agreed upon by the parties. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending resolution of a dispute.

13. General

  • Entire agreement: These Terms, together with the Privacy Policy and any applicable order form or subscription agreement, constitute the entire agreement between you and ShipScout regarding the Services and supersede all prior agreements
  • Severability: If any provision of these Terms is found to be unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect
  • Waiver: Failure by ShipScout to enforce any provision of these Terms shall not constitute a waiver of future enforcement of that or any other provision
  • Assignment: You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets
  • Force majeure: Neither party shall be liable for delays or failures to perform resulting from causes beyond their reasonable control
